1.Background of merger
HP had a long and impressive history of innovation, but was hit in the late 1990s by intense competition among PC manufacturers and by a general economic downturn. Moreover, advent of Dell is one of the reason. HP was threathen by Dell`s innovative mothod of sales and cost-leadership strategy.
HP laid off employees and did the restructuring to compete with competitors. But they failed to have their own computer service market share. It had become difficult to compete with IBM, Sun micro. Finally, HP was stuck among competitors and got less attracted by consumers.
