한국어 초록
한국과 인도네시아는 공통적으로 지난 1997년 및 2008년의 금융위기들을 모두 극복하고 새로운금융개혁을 단행하면서 이에 따른 외국은행 규제와 감독제도를 시행하고 있다.
인도네시아의 은행감독과 규제는 기본적으로 인도네시아 은행법과 인도네시아 중앙은행법
(Bank Indonesia Law)에 의하여 규율된다. 최근에는 중앙은행인 Bank Indonesia에 의한 단일 감
독체제가 새로운 감독규제법의 제정에 따라 ‘금융서비스기관(FSA)’으로 이전되면서 은행감독기구
의 중대한 변화가 있었다.
2012년 12월에는 은행의 지분보유를 제한하는 ‘Single Presence Policy’가 새로이 개정되면서 상
업은행의 경영권을 확보할 경우 일정한 예외를 허용하되 원칙적으로 동일 투자자는 하나의 상업은
행에 대한 경영권만 확보할 수 있도록 하였다. 한편 인도네시아 금융당국은 외국은행의 국내시장
진출에 대한 규제를 강화하기 위해 2012년 7월부터 외국은행이 취득할 수 있는 현지은행 지분을
최대 40%로 제한하는 내용의 규정을 신설하였으며 40%를 넘는 지분을 보유하기 위해서는 별도의
예외승인을 받도록 하였다.
인도네시아의 은행은 크게 상업은행과 지방은행으로 구분되지만 이슬람교의 영향으로 각각 샤
리아(Sharia)은행이라는 별도의 은행도 존재한다. 또한 상업은행은 국영은행, 외국환은행, 비외국
환은행, 지역개발은행, 합작은행, 외국은행 지점 및 사무소 등으로 분류된다. 2012년 현재 35개
외국환은행 중 10개 은행은 외국은행이 경영권을 인수한 상태이며 이외에도 합작은행, 지점 및
사무소 형태로 다수의 외국은행이 인도네시아에 진출하고 있다. 우리나라 은행 가운데에는 하나은
행이 외국환은행 형태로 그리고 외환은행과 우리은행이 각각 합작은행 형태로 인도네시아에 이미
진출한 상황이다.
반면에 우리나라는 기본적인 외국은행의 진입 형태와 기준을 은행법과 그 하위 규정인 금융위
원회의 은행업감독규정에서 정하고 있다. 은행법에서 허용하는 진입유형은 국제사회에서 인정하
는 바와 같이 기본적으로 사무소, 지점, 대리점, 자회사의 형태가 가능하며 이외에 법률해석상 합작투자의 형태가 허용될 수 있다. 그러나 은행법은 기본적으로 외국은행 ‘국내지점’을 가장 기본적
인 진입유형으로 보고 있으며 외국은행 역시 대부분 지점 또는 사무소의 형태로 국내에 진입하고
있다. 2012년 현재 16개국으로부터 39개의 외국은행 국내지점이 국내에 진출한 상황이다.
특히 외국은행 규제와 관련하여 인도네시아와 한국은 미국과 같은 다른 국가들과는 달리 외국
은행의 지점에게 요구되는 일정한 자금을 자본금으로 의제하는 영업규제를 하고 있다. 즉, 인도네
시아는 ‘capital equivalency maintained assets (CEMA)’을 그리고 우리나라는 갑기금과 을기금으
로 구성된 ‘영업기금’을 자본금으로 의제하여 외국은행의 지점이 마치 본점과는 분리된 독립된 영
업단위인 것처럼 규제를 하고 있다.
영어 초록
Korea and Indonesia have come up with specific blueprints for restructuring their respectivebanking and financial sectors post the Asian financial crisis. Even though there have been many
changes recently in the regulations of both countries' banking sector, foreign banks have
tended to operate in certain non-traditional types of markets (e.g., foreign exchange,
derivatives and international banking activities generally) which may require greater or different
regulation. In addition, the domestic regulations' sensitivity to foreign banks has increased
because these foreign banks constitute the entry of a foreign enterprise into each country's
traditional market.
While foreign banking activities in Korea and Indonesia have grown in terms of business
volume, market share and number of branches, banks may operate internationally through the
certain types of foreign banking establishments such as a foreign commercial presence:
branches, representative offices, subsidiaries and joint ventures or consortia. Currently some
Korean banks are operating their businesses in Indonesia; Hana Bank as a foreign exchange
bank, and Korea Exchange Bank and Woori Bank respectively as a joint venture bank.
However, there is no Indonesian bank entry at all in Korea yet. This seems to show that there
have not been many business developments between Korea and Indonesia. In the recent new regulatory environment and situation, foreign banks are now grappling
again with dramatic changes in their own operating environment and are now facing new
developmental and competitive challenges by domestic banks in Korea and Indonesia. This
paper reflects such circumstances and legal review of foreign bank regulations under the new
banking laws and system in Korea and Indonesia, and suggests some guidelines for foreign
banks either from Korea or Indonesia.
