독일에 있어서의 금융감독원의 금융기관의 임직원에 대한 제재를 검토한 결과 다음과 같은 결론에 도달할 수 있는데, 독일과 우리나라의 실체법적 기준들은 대동소이하다. 왜냐하면 금융기관
의 건전성 확보나 금융소비자의 보호 등을 위태롭게 하거나, 임원이나 감사의 자질에 있어서 전문
적 식견이나 신뢰성 등이 결여되어 있는 경우에 행정적인 조치를 취할 수 있도록 규정하고 있기
때문이다. 한국과는 달리 독일에서는 임원과 감사 그리고 직원에 대한 제재에 있어서 독일 금융감
독원은 임원과 감사에 대해서 제재조치를 취하고 있으며, 직원에 대해서는 직접적인 제재조치를
취하지 않는다. 독일 금융감독원은 광범한 재량을 가지고 금융기관의 임원과 감사에 대한 제재를
수행하고 있다. 우리나라이든 독일이든 금융감독원은 행정기구로서 행정권을 행사하고 있으며, 행
정권 역시 헌법상 인정된 권한으로서 그 행사에 있어서 일차적인 우선권을 부여받고 있으며, 법령
의 범위 내에서의 행정권의 행사는 존중받아야 한다. 두드러진 점은 우리나라에서는 금융감독원의
규정에서 매우 상세한 재량행사의 준칙을 마련하고 있는데, 대단히 의미가 있는 규정이라고 평가
될 수 있을 것이다.
독일 금융감독원은 임원과 감사에 대한 제재조치를 취함에 있어서 절차적인 측면에서는 독일연
방행정절차법에 따라서 처리하고 있다. 독일에서는 행정절차가 비교적 잘 지켜지고 있다. 이는 결
국 엄격한 사법적 통제라는 배후가 있기 때문에 가능한 것이다. 독일의 행정절차는 간이, 신속,
효율(합목적성) 등의 이념 하에서 특별히 법령에서 엄격한 절차를 규정하고 있지 아니하는 한 행
정청에서 자유롭게 수행하도록 하고 있으며, 진실발견, 사실의 명쾌한 확정 등을 충분히 할 수 있
는 행정절차가 운용되고 있다. 다수의 행정법 학자들은 행정심판을 포함하는 이의제기절차 역시
행정절차의 범주로 보고 있는데, 그 이유는 관할행정청이 일단의 처분을 발급하였다손 치더라도,
이것이 종국적이지는 아니하고 결국 이의절차를 거쳐야만 종국처분이 되는 것으로 보기 때문이다.
주목할 점은 독일의 행정절차법에는 ‘행정작용’ 전반에 걸쳐서 행정절차법이 적용되고 있으며, 행
정절차를 운용함에 있어서 다만 절차를 거쳤다는 것에서 만족하는 ‘형식적 의미의 행정절차’로 운
용되기 보다는 진실발견, 사실확정 등 보다 ‘내용적 의미의 행정절차’를 추구하고 있다는 점이다.
독일에서 금융감독원의 조치에 대해서는 사후적으로 충분한 사법심사를 통해서 공정성이 확보되
고 있다. 우리나라에서는 금융감독원의 조치들 중에서 행정처분에 대해서만 취소소송이나 무효확
인소송이 허용되고 있으나, 독일에서는 금융감독원의 조치들이 행정처분인 경우에는 취소소송이
나 의무이행소송이 제기될 수 있고, 그리고 행정처분이 아닌 경우에는 일반적 이행소송으로서 상
대방은 자신의 권익을 방어할 수 있다. 독일에 있어서 중요한 것은 바로 금융감독원의 조치가 행
정처분이냐 아니냐에 있는 것이 아니라, 그러한 조치가 상대방의 권익을 침해하느냐 아니냐가 중
요한 것이다. 즉 금융감독원의 조치가 예를 들면 주의나 사전협의라 하더라도 이를 통해서 임원이
나 감사의 권익에 침해를 가져오는 경우에는 이에 대해서 행정소송을 제기할 수 있는 것이다. 이
처럼 금융감독원의 조치에 대해서 사후적으로 철저한 사법심사가 행해짐으로 인하여 금융감독원
은 어떠한 조치를 취할 때 그 투명성이나 공정성에 있어서 보다 철저할 수 밖에 없는 것이다.
금융감독원의 행정적 조치들에 대해서 투명성과 공정성을 확보함에 있어서 아직까지 고찰되지
못한 것은 바로 인적·물적 기반이라고 할 수 있는데, 우리나라에서 절차적으로나 법제도적으로
정비를 하여 나가지만, 인적·물적 기반이 제대로 뒷받침 되지 않는다면 이는 도리어 역효과를
나타낼 수도 있는 것이므로, 앞으로는 인적 물적 기반에 역점을 두어서 우리나라의 운영의 고도화
를 추구하여야 한다.
영어 초록
After reviewing sanctions for executive members and employees of financial institutions bythe Financial Supervisory Service (FSS) of Germany, we can conclude that the legal standards
for sanctions are mostly same in both countries in comparison to those of Korea. Main reasons
to take administrative measures are followings: risk of the soundness of financial institutions
and lack of professional insights and reliability of the executive officers or auditors of financial
institution. In contrast to Korea the direct sanctions for employees by the Financial Supervisory
Service (FSS) are not taken in Germany. The Financial Supervisory Service (FSS) has broad
discretion in sanctions for both executives members of financial institutions and auditing
members. This kind of administrative discretion should be respected because the executive
branch as expert body has its own legitimation to act for the public interest, which is
acknowledged by the german constitution. The salient point in Korea is that the korean FSS
developed a very detailed guideline to exercise its discretion for sanctions, which can be a
model guideline for other countries.
In taking sanctions for executive members and auditors the german Financial Supervisory
Service (so-called BaFin) processed the procedure in accordance with the German Federal
Administrative Procedure Act. The administrative procedures are relatively well kept in
Germany. The reason of this can be eventually based on the fact that the strict judicial control
by the german administrative court against the administrative actions is behind. The
fundamental idea of the german administrative procedures are supplementary, rapid, and
efficient(finality), unless the statute regulates specifically. A number of administrative law
scholars include appeal procedures(in german term Widerspruchsverfahren) as administrative
procedure, because the administrative act is not final enough without finishing of the appeal
procedures. This kind of mechanism at appealing procedure contribute to protect the parties
who are infringed in their rights by the Financial Supervisory Service. The difference between
Germany and Korea in the administrative procedure lies not in the procedure as process itself,
but in the real attitude to operate the administrative procedure to find facts and truth.
In Germany parties who were sanctioned by the Financial Supervisory Service (FSS) have
chance to file up administrative lawsuit against those sanctions, even though the legal character
of the sanctions could not be qualified as administrative act. Therefore, caution, warning, prior
consultation or administrative penalties by the Financial Supervisory Service (FSS)
can be the object of a administrative lawsuit. In contrast to Germany in the korean
legal practice the legal character of those actions is critical for filing an administrative
lawsuit.
For ensuring transparency and fairness of the administrative actions of the Financial
Supervisory Service (FSS), Korea needs human and material resources, which did not yet
investigated. Now in the process of political, social and economic development of Korea it has
to reinforce human and material resources of the Financial Supervisory Service (FSS).
